Hudara — Terms of Service
Provider: websquids LLC ("websquids," "we," "us"), operating the Hudara product ("Hudara"). Registered address: Cairo, Egypt.
1. Acceptance
By creating a Hudara account or using the Hudara service ("Service"), the customer ("you," "your business") agrees to these Terms. If you're accepting on behalf of a business, you confirm you have authority to bind that business.
2. The Service
Hudara is a WhatsApp-based customer communication, commerce, and CRM platform. Hudara connects to WhatsApp through Meta's Cloud API. websquids, which operates Hudara, is a verified Meta Tech Provider. The Service includes the features described at the time of your subscription in Hudara's published feature documentation, which may be updated as the product changes.
3. Your WhatsApp number and Meta's platform terms
3.1. Using WhatsApp through Hudara requires your business to comply with Meta's own platform terms, including the WhatsApp Business Messaging Policy and Meta's Commerce Policies. You are responsible for your own compliance with Meta's policies, including template content rules and customer opt-in requirements (see §5).
3.2. Meta, not Hudara, decides whether to approve your message templates, and whether your WhatsApp number or account remains in good standing. Hudara is not liable for actions Meta takes against your number or account, including suspension, restriction, or template rejection, except where caused by Hudara's own error.
3.3. Meta may change its policies, pricing, or platform terms at any time. Hudara will pass through such changes as they affect the Service but is not responsible for Meta's decisions.
4. Fees
4.1. Subscription fees. You pay the subscription fee for your tier — Starter ($49/mo), Growth ($129/mo), or Business ($299/mo), as set out in the current published pricing at hudara.io — billed monthly in advance. An annual option is available at the price of ten months (two months free), billed yearly in advance. New accounts start with a 14-day free trial before the first invoice. Invoices are currently issued directly by websquids.
4.2. Meta messaging fees, passed through at cost. In addition to your subscription, Meta charges per-conversation or per-message fees for certain message categories once messages are sent outside a free service window. Hudara passes these fees through to you at cost, without markup, based on Meta's published rate card at the time of sending. Hudara's in-app cost estimates are estimates only, not invoices; actual costs are billed based on Meta's actual charges to Hudara for your account's usage.
4.3. Non-payment. Invoices are due within 7 days of issue. If an invoice remains unpaid after 14 days, Hudara may suspend the Service. During suspension your data is retained for 60 days, and the Service is reactivated as soon as payment is received. If the account is not brought current within that window, it is treated as closed and deleted within 30 days, as described in section 9.3.
5. Your responsibilities
5.1. Opt-in consent. You are solely responsible for obtaining valid customer consent (opt-in) before sending business-initiated WhatsApp messages, in compliance with Meta's requirements and applicable law in the jurisdictions where your customers are located. Hudara records the opt-in state you provide or that customers set via opt-out keywords, but does not obtain consent on your behalf and is not liable for messages sent to a customer who did not validly opt in.
5.2. Accuracy of data you connect. You're responsible for the accuracy of data from systems you connect to Hudara (e.g., WooCommerce), and for keeping API keys and webhook secrets confidential.
5.3. Lawful use. You will not use Hudara to send unlawful, fraudulent, or abusive content, or in a way that violates Meta's platform terms or applicable consumer-protection, e-commerce, or data-protection law in Egypt, Saudi Arabia, or any other jurisdiction where you operate.
6. Data processing roles
6.1. For your account and billing information, Hudara acts as a data controller.
6.2. For the content of your customers' messages, contact records, and order data you connect (e.g., from WooCommerce), Hudara acts as a data processor on your behalf as the controller of that data — see the Privacy Policy for how this data is handled.
6.3. A data processing agreement (DPA) is available on request at privacy@hudara.io.
7. Subprocessors
Hudara's current subprocessors, and where each operates, are:
- Meta Platforms, Inc. — WhatsApp Business Platform (Cloud API) messaging infrastructure.
- Verpex — server hosting for the Hudara application, database, and backups, London, United Kingdom.
- Cloudflare — DNS.
- Sentry — error monitoring, Frankfurt, Germany (EU data region).
- Resend — transactional email delivery (e.g., account notifications sent from
notifications.hudara.io). - Google Cloud Speech-to-Text — only if you enable voice transcription and connect your own Google credentials. Audio is then sent to Google under your own account.
- Your WooCommerce store — a merchant-controlled system you connect yourself; it is not a subprocessor Hudara selects, but data flows to and from it under your own control.
We will give at least 30 days' notice before adding a new subprocessor.
8. Intellectual property
8.1. Hudara and its underlying software remain the property of websquids LLC.
8.2. You retain ownership of your business data, customer data, and content you send through the Service.
9. Term and termination
9.1. You may cancel at any time; your subscription remains active through the end of the current billing period.
9.2. Hudara may suspend or terminate your account for material breach of these Terms, non-payment (see §4.3), or conduct that risks Meta's platform standing for Hudara's other customers, with notice where practicable.
9.3. On termination, you can request a copy of your data by emailing privacy@hudara.io. We delete your workspace data from live systems within 30 days of a confirmed closure request, and backups are deleted automatically after 14 days. See the Privacy Policy, section 7, and the Data Deletion page for the deletion and anonymization mechanics.
10. Liability
10.1. To the maximum extent permitted by applicable law, Hudara's total liability under these Terms is limited to the fees paid by you in the twelve months preceding the claim.
10.2. Hudara is not liable for indirect, incidental, or consequential damages, or for actions taken by Meta (template rejection, account restriction, pricing changes) that are outside Hudara's control.
10.3. Nothing in these Terms limits liability that cannot be limited under Egyptian or Saudi law.
11. Governing law
These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from these Terms is subject to the exclusive jurisdiction of the courts of Cairo, Egypt.
12. Changes to these Terms
We may update these Terms. For material changes, we will give at least 30 days' advance notice by email to the account owner and an in-app notice before the changes take effect.
